Pucker Ridge Racing

The Pucker Ridge Racing "Patience Fund" consists of 2 NY Bred fillies-a 2 year old filly by Lycius, named Classical Brass and an unnamed yearling filly by True Direction. This fund is for those that have the patience to wait for their horses to mature for racing and in return have a lower initial investment cost. It would be anticipated that the 2 year old Lycius filly would be ready to race early 2010 and the yearling filly late 2010. The fillies are ½ sisters both out of the dam, I'm So Classy by Dixie Brass.

Classical Brass has begun her breaking and training at Pucker Ridge Farm. It is anticipated that she would relocate to Belmont Racetrack to our trainer, David Prine when she is ready to race, probably sometime in the later Fall of 2009. Classical Brass is a major Stakes winning champion in Europe and son of the great Mr. Prospector. He has become a well respected broodmare sire the last few years.

The yearling filly would remain at Pucker Ridge Farm where she would begin breaking and training in the later Fall of 2009. She is from the first NY crop of True Direction, a son of French Deputy. True Direction's first crop are 2 year olds of 2009. True Direction was a sprinter who posted triple digit Beyer speed ratings at 4 different tracks including a 116 at Belmont Park (going 6 furlongs in 1:07 4/5).

The plan would be for the Fund to race both fillies on the NYRA circuit under trainer, David Prine when they are ready. Shares in this fund will be sold at a minimum level of 5% ownership. As a 5% owner, you will be required to become a licensed owner in NY State once the first filly is ready to race. You will be entitled to the standard rights of being a licensed owner. These include free parking and admission/Clubhouse admission at NYRA tracks as well as access to the backstretch and preferred dining reservations. Scheduled conference calls will be held with our trainer, David Prine once the horses arrive at the racetrack where he will answer questions about our horses along with general racing questions. Partners will also be invited to periodic functions such as Pucker Ridge Farm's annual BBQ.

Pucker Ridge Racing "Patience Fund" Costs:

This Fund is being priced at a total of $28,000 including sufficient funds to cover expenses for both horses through June 30, 2009.

10% Ownership will require an investment of $2,800

5% Ownership will require an investment of $1,400

Future expenses for both horses will be billed quarterly, in advance to cover expected expenses. These billings will be as of January 1, April 1, July 1 and October 1.

The initial quarterly billing on July 1, 2009 will be for $775 for 10% ownership and $400.00 for 5% ownership. Future quarterly billings will be adjusted based upon actual costs. Any surplus expense reserves maybe held to help offset future expenses to be incurred in anticipation of racing.

The "Patience Fund" will be set up as a New York LLC with Lois Engel as Managing Director. Each member will receive a year end K-1 statement for tax purposes. Please check with your Accountant with regards to tax implications.

Pucker Ridge Racing makes no guarantees, written or implied as to the performance of the horses in the "Patience Fund". Thoroughbred racehorse ownership is a highly speculative and extremely risky activity. There is a high probability that any person investing in this Fund may lose all or a significant portion of his/her investment in a very short period of time and that the Fund may fail completely in its objectives and goals. All investors understand and accept that it is not possible to predict the performance of thoroughbreds in any way whatsoever and therefore any horse maybe a complete failure or die or become ill at any time. There are no assurances that the business of the Fund can or will be successful and will not partially or totally fail and that the investor's entire interest maybe lost.
